AGREEMENT TO THESE TERMS

These Terms of Service ("Terms") govern your use of the website voointegrations.com and any services provided by Voo AI Integrations, a Utah limited liability company ("we," "us," or "our"). By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.

OUR SERVICES

We provide artificial intelligence consulting, training, and technology integration services to businesses, including:

• AI audits — a paid review of your business workflows with a written report on where AI can save you time and money
• AI training — workshops and coaching that teach your team to use AI tools in their work
• Automated review systems — setup and management of systems that request and respond to customer reviews
• Website design and maintenance — building and maintaining business websites

The specific services, deliverables, and fees for your engagement will be described in a separate proposal, invoice, or written agreement between us. If anything in that agreement conflicts with these Terms, that agreement controls.

FEES AND PAYMENT

Pricing for our services is listed on our website and confirmed in writing before work begins. Unless your written agreement says otherwise:

• Monthly services are billed in advance on a recurring basis.
• One-time services, such as audits and training workshops, are billed as agreed before the engagement.
• Prices shown on our website may change, but we will give existing clients notice before changing their recurring rate.
• Late or failed payments may result in services being paused until the balance is resolved.

CANCELLATION

Monthly services are provided on a month-to-month basis with no long-term contract. You may cancel at any time, and your service will continue through the end of the billing period you have already paid for. Fees already paid are non-refundable unless we agree otherwise in writing.

YOUR RESPONSIBILITIES

To deliver our services, we rely on your cooperation. You agree to:

• Provide accurate information and timely access to the accounts, phone numbers, and tools needed to set up your systems
• Maintain your own accounts with any third-party platforms required for your services
• Use the systems we set up in a lawful manner and in compliance with applicable rules, including telephone, text messaging, and email regulations, and the review policies of platforms such as Google
• Obtain any consents required from your own customers before contacting them through systems we configure

THIRD-PARTY PLATFORMS

Our services are built on third-party platforms and tools, including customer relationship management, communications, and artificial intelligence providers. We do not control those platforms. Their availability, pricing, features, and terms may change, and outages or changes on their end may affect your services. Your use of those platforms may also be subject to their own terms and policies.

ARTIFICIAL INTELLIGENCE DISCLAIMER

NO GUARANTEE OF RESULTS

We work to deliver strong results, but we do not guarantee any specific outcome — including a particular number of reviews, calls answered, leads generated, appointments booked, search ranking, or amount of revenue or time saved. Results depend on many factors outside our control, including your market, your business practices, and third-party platform behavior.

INTELLECTUAL PROPERTY

All content on this website, including text, design, graphics, and code, is owned by Voo AI Integrations and may not be copied or reused without our written permission. Training materials, playbooks, templates, and configurations we provide remain our intellectual property, and you receive a non-exclusive license to use them within your own business. You retain ownership of your own business data, customer information, and content. Websites we build for you are yours upon full payment, except for third-party components licensed separately.

CONFIDENTIALITY

We will treat non-public information you share with us about your business as confidential and will not disclose it to others except as needed to provide our services or as required by law. We ask the same of you regarding non-public information we share with you.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Voo AI Integrations will not be liable for any indirect, incidental, special, or consequential damages, including lost profits, lost business, or lost data, arising from your use of our website or services. Our total liability for any claim relating to our services will not exceed the amount you paid us for those services in the three months before the claim arose.

Our website and services are provided "as is" without warranties of any kind, whether express or implied, except as required by law.

INDEMNIFICATION

You agree to indemnify and hold harmless Voo AI Integrations from claims, damages, and expenses arising from your misuse of our services, your violation of these Terms, or your violation of any law or the rights of a third party — including claims arising from messages sent to your customers without proper consent.

GOVERNING LAW

These Terms are governed by the laws of the State of Utah, without regard to its conflict of law rules. Any dispute relating to these Terms or our services will be brought in the state or federal courts located in Utah, and you agree to the jurisdiction of those courts.

CHANGES TO THESE TERMS

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of our website or services after changes are posted means you accept the updated Terms.
